In Nigeria, all companies [both private and public] are required to appoint a secretary, with the exception of small companies.  

Requirements

Info and documents needed for this service

For private companies the requirements are;
  1. Means of identification of the [new] secretary.
  2. Details of the new secretary which include; name of new secretary, email, phone number, nationality, gender and residence address.
  3. Company Details.
  4. Particulars/proof of registration of the company.
  5. The appointment letter of the secretary and date of appointment of new secretary.
  6. Date of removal of old secretary.
  7. Detail of authorized signatories of the company authorizing the change.

For public companies;
  1. All the aforementioned will be supplied.
  2. Together with a resolution of the General Meeting where such secretary was removed.
  3. or the board resolution removing the secretary where the removal was effected by the Board of Directors rather than the General Meeting.

Steps involved in this compliance service


  1. Submit extracts of meeting where secretary was removed or appointed.
  2. Prepare a special Resolution signed by at least two directors.
  3. File the form.
  4. Pay fees.
